Welcome to AtoZ Marketing Kit. These Terms & Conditions constitute a legally binding agreement between your organization ("Client", "User") and AtoZ Marketing Kit ("Company", "We"). By registering an account, integrating our dashboards, or configuring the WhatsApp Business API, you accept these Terms in full.

1. Provision of Software and License

AtoZ Marketing Kit grants the Client a non-exclusive, non-transferable, revocable license to access our dashboards, configure automated webhooks, set up chatbot trees, and manage WhatsApp communication templates. All software designs, system code, and database layouts remain the intellectual property of AtoZ Marketing Kit.

2. Meta API and Verification Obligations

Because our services rely directly on the official Meta WhatsApp Business Platform, the Client must comply with the following policies:

  • Meta Account Validation: The Client must maintain a verified Meta Business Manager account to activate official WhatsApp API numbers. We are not responsible for onboarding delays caused by verification issues on Meta's end.
  • Commerce Rules: You agree not to distribute items, templates, or alerts representing restricted categories, including narcotics, weapons, gambling, adult content, or counterfeit services under Meta's Commerce Policy.
  • API Limits: Your messaging limits (Tier 1 to Tier 4) are determined dynamically by Meta based on message quality ratings and user feedback. AtoZ Marketing Kit does not control or override these limits.

3. Acceptable Use and Anti-Spam Guidelines

To maintain a clean messaging ecosystem and preserve numbers from blocklists, you agree to follow our strict anti-spam guidelines:

  • Consent Verification: You must secure explicit opt-in consent from end-users before initiating template messages or alerts.
  • Opt-Out Mechanism: You must include clear "Unsubscribe" or "Stop" buttons inside templates where required.
  • Immediate Suspension: If Meta flags a client number with a "Low Quality" rating, or if spam reports exceed acceptable limits, We reserve the right to suspend API access immediately to protect our system IP reputation.

4. Subscription Billing, Fees, and Auto-Renewals

The billing terms for our services are configured as follows:

  • Dashboard Subscriptions: Billed in advance on a monthly or annual cycle. Failure to pay will result in automated system suspension of WhatsApp API routing nodes.
  • Meta Conversation Costs: You are responsible for conversation charges billed directly by Meta (utility, authentication, marketing, and service chats). These fees are dynamically calculated and must be maintained via prepay credit structures on your Meta account or settled with us according to usage.
  • Price Revisions: We reserve the right to adjust dashboard subscription tiers by providing a 30-day email notification to clients.

5. Service Level Agreement (SLA) & Support

We strive to keep our services running smoothly. Our support commitment includes:

  • Uptime Target: We target a 99.9% uptime for our routing nodes and webhook endpoints, excluding scheduled maintenance windows (usually scheduled between 02:00 AM and 04:00 AM IST on Sundays).
  • Response Times: Support requests submitted to waapi@atozmarketingkit.in are prioritized based on tier. P1 bugs (system down) are responded to within 4 hours; general questions within 24 hours.

6. Indemnification and Limitation of Liability

To the maximum extent permitted by applicable law, AtoZ Marketing Kit is not liable for indirect, incidental, or consequential damages, including loss of business profits, lost template records, or API downtime. Our maximum cumulative liability for any claim under this agreement is capped at the total amount paid by the Client in the three (3) months immediately preceding the event.

The Client agrees to indemnify and hold harmless AtoZ Marketing Kit from any claims, regulatory penalties, or legal fees resulting from Client's breach of Meta's WhatsApp Policies or local communication laws.

7. Agreement Termination

Either party may terminate this agreement at any time by giving a 15-day cancellation notice through the dashboard. Upon termination:

  • Access to the dashboard and multi-agent console is revoked.
  • All webhooks and routing tables will be dismantled.
  • All data records, except payment invoices, will be permanently purged from our databases within 30 days of cancellation.

8. Governing Law and Disputes

These terms are governed by the laws of India. Any litigation, arbitration, or dispute arising out of this contract will be resolved under the exclusive jurisdiction of the state courts located in New Delhi, India. For legal inquiries, contact us at waapi@atozmarketingkit.in.
